Part A

General terms

  1. 1

    Who we are

ThriveTech Audio is a trading name of ThriveTech Learning Ltd (company number 17139647). Registered office: 1 Miller Way, Exminster, Exeter, England, EX6 8TH. Website: www.thrivetechaudio.com. Contact form: www.thrivetechaudio.com/contact. Telephone: 07739 509198. In these terms, “we”, “us” and “our” mean ThriveTech Learning Ltd trading as ThriveTech Audio; “you” and “your” mean the customer named in the quotation or booking.

  2. 2

    Quotations and acceptance

A quotation describes the services, equipment, price and scope known at the time it is issued. Unless the quotation says otherwise, it is valid for 30 days. A contract is formed when you accept the quotation in writing, confirm a booking, pay a required deposit, or instruct us to begin work, whichever happens first. By proceeding, you agree to these terms. Any changes to the agreed scope, equipment or specification may affect price and timescale and will be confirmed with you before the additional work is undertaken.

  3. 3

    Prices, invoices and payment

Prices and payment milestones will be set out in the quotation or invoice. Unless stated otherwise, prices are in pounds sterling and any applicable VAT will be shown separately. You must pay invoices by the due date shown. If no due date is stated, payment is due within 7 calendar days of the invoice date. We may pause work or withhold delivery, handover or release of materials while an undisputed overdue amount remains unpaid, subject to applicable law. If you dispute an invoice, please tell us promptly and explain the reason; any undisputed portion remains payable.

  4. 4

    Deposits

A deposit secures the booking and may cover advance commitments, planning, administration, preparation and equipment procurement. For installation projects, a 50% deposit is required to confirm acceptance of the quotation and secure the booking, unless the quotation expressly states otherwise. The amount and due date will be stated in the quotation. Deposits and cancellation charges will be handled fairly and in accordance with applicable consumer law. Where you are a consumer and a statutory cancellation right applies, these terms do not remove that right.

  5. 5

    Changes and additional work

Work outside the agreed scope, extra session time, additional equipment, extra visits, substantial mix revisions, additional file preparation, or changes requested after approval may be charged at the rate stated in the quotation or otherwise agreed with you in writing before the work is carried out. If an unexpected issue affects the work, we will explain the options and any likely additional cost where reasonably practicable.

  6. 6

    Your responsibilities

You must provide accurate information, appropriate access, any permissions or licences that are your responsibility, and a safe working environment. For venue work, you must tell us about relevant site restrictions, access arrangements, asbestos or other known hazards, safeguarding requirements, parking restrictions and any existing faults. You are responsible for ensuring that you have the necessary rights to any music, recordings, images, logos, content or other materials you supply.

  7. 7

    Cancellations and rescheduling

Please notify us in writing as soon as possible if you need to cancel or reschedule. The quotation or booking confirmation may set out project-specific cancellation terms. If it does not, we may charge a reasonable amount reflecting work already carried out, non-refundable costs and losses reasonably arising from the cancellation, taking account of any costs saved or work we are able to rebook. We will not apply a charge that is unlawful or unfair under applicable consumer law. Where statutory cancellation rights apply, they take priority over any inconsistent term in this document.

  8. 8

    Equipment and property

You are responsible for taking reasonable care of our equipment while it is in your possession or under your control. You may be charged for loss or damage caused by your negligence, misuse or breach of these terms, to the extent permitted by law. You are not responsible for ordinary wear and tear or damage for which we are legally responsible. Please report any loss, damage or fault promptly.

  9. 9

    Liability and statutory rights

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any consumer rights that cannot legally be excluded. If we fail to perform our obligations with reasonable care and skill, you may have rights and remedies under applicable law. Subject to those protections, we are not liable for indirect or consequential loss that was not reasonably foreseeable, or for delays or failures caused by circumstances outside our reasonable control. Where we are liable for loss or damage, our liability will be assessed in accordance with applicable law and the circumstances of the claim.

  10. 10

    Data protection and communications

We use contact and project information to respond to enquiries, manage bookings, deliver services, administer payments and meet legal obligations. We take reasonable steps to keep personal information secure and handle it in accordance with applicable data protection law. We may use trusted service providers where necessary to deliver our services. Please contact us if you need further information about how your data is handled.

  11. 11

    Complaints and resolving disputes

If you are unhappy with any part of our service, please contact us through our contact form and provide the relevant quotation or invoice details and a description of the issue. We will review the matter and aim to respond promptly and fairly. The parties should first try to resolve disputes through discussion. This does not prevent either party from using any legal rights or remedies available to them.

  12. 12

    Updates to these terms

We may update these terms from time to time. The version that applies to a booking is the version provided or made available when the contract is formed, unless a change is agreed in writing or is required by law. We will not use a later update to remove rights already held under an existing contract.

Part B

Recording studio and audio production

  1. 13

    Studio bookings and deposits

A studio session is confirmed once we have accepted the booking and any required deposit has been received. The booking confirmation will state the date, session length, location, agreed services and payment arrangements. Any deposit and cancellation arrangements stated in the booking confirmation form part of the agreement, subject to clause 7 and applicable law.

  2. 14

    Session times and additional time

The session begins at the agreed booking time, not when you arrive. Please arrive ready to begin. Late arrival does not automatically extend the booked session. Additional time is subject to availability and will be charged at the rate agreed for the session or confirmed with you before it is incurred. Breaks and any arrangements for meals will be agreed for the session; unless agreed otherwise in writing, booked time continues during breaks.

  3. 15

    Recording, production and mastering

We will carry out the agreed recording, editing, production or mastering services with reasonable care and skill. Creative decisions and the final sound remain collaborative, and you are responsible for reviewing and approving the work. Unless otherwise agreed, mastering includes one reasonable round of revisions. Further mix changes, edits, revisions or alternative versions may be charged at our current or agreed hourly rate. Any special requirements should be agreed before the session.

  4. 16

    Creative contributions and rights

You retain the rights you own in your original songs, performances and materials, subject to any separate agreement. If an engineer, producer or other contributor makes a creative contribution for which songwriting credit, royalties, ownership or other rights are proposed, the parties must agree those arrangements separately in writing. Nothing in these terms automatically transfers a contributor’s copyright or creates a royalty entitlement.

  5. 17

Ownership and release of recorded work

Subject to any rights belonging to you or third-party contributors, we may retain possession of project files, masters and deliverables until all sums due for the relevant work have been paid in full. Once payment is received, we will provide the deliverables specified in the quotation or booking confirmation and grant or transfer any rights expressly agreed in writing. Any third-party software, samples, plugins or other licensed material remains subject to its applicable licence terms.

  6. 18

    Delivery, storage and backups

Where files are shared by a download link or file-sharing service, we will tell you the intended availability period where reasonably practicable. You are responsible for downloading and safely storing your files promptly. Unless agreed otherwise in writing, we aim to retain project backups for up to two months after completion, but this is not a guaranteed archive service. Please maintain your own copies. Restoration, re-exporting, stems, instrumental versions, vocal-free versions or other files not included in the original scope may incur an additional charge. Physical media, if available, will be charged at the price agreed.

  7. 19

    Data loss and release dates

We take reasonable steps to protect project data, but no storage or backup system is infallible. You should keep your own copies of source material and delivered files. We are not responsible for delays to your intended release date caused by late approvals, late delivery of materials, changes in scope, third-party platforms or circumstances outside our reasonable control. This clause does not exclude liability where we have failed to exercise reasonable care and skill or where liability cannot legally be excluded.

  8. 20

    Credits

Where appropriate and agreed, you may credit the work as “Recorded at ThriveTech Audio” or use another agreed credit. Please ensure credits are accurate and do not imply endorsement or participation beyond the work actually undertaken. Any use of our logo or name in promotional material should be agreed with us in advance.

Part C

Audio, AV, hearing loop and installation services

  1. 21

    Installation quotation and 50% deposit

A 50% deposit is required to confirm acceptance of an installation quotation and secure the booking, unless the quotation expressly states a different arrangement. We may use the deposit to order equipment and materials, allocate labour and schedule the work. The remaining balance and any staged payments will be stated in the quotation or invoice. If the project scope changes, any price or timescale change will be agreed in writing.

  2. 22

Retention of title to supplied equipment

Equipment and goods supplied by us remain our property until we have received payment in full for those goods and any other sums properly due under the relevant contract, to the extent permitted by law. Until ownership passes, you must take reasonable care of the goods and must not sell, pledge or dispose of them in a way that prejudices our ownership rights. Risk in the goods passes as stated in the quotation or, if not stated, when the goods are delivered to you or installed at your premises. Nothing in this clause overrides mandatory consumer protections.

  3. 23

    Installation and site conditions

The quotation is based on the information and site conditions reasonably available when it is prepared. You must provide safe, timely access and ensure that any permissions, landlord approvals, building approvals or other consents that are your responsibility are in place. Unless expressly included in the quotation, the price does not include building work, redecoration, making good, asbestos work, specialist access equipment, new electrical circuits, network upgrades or repairs to pre-existing faults. We will discuss unforeseen conditions and obtain agreement to any material additional cost before proceeding, where reasonably practicable.

  4. 24

    Electrical work and safety

We will carry out only the electrical and installation work that we are competent and appropriately qualified or authorised to undertake. Where the project requires work by a specialist or another contractor, this will be identified and agreed. You must not modify, move, open or interfere with installed equipment in a way that creates a safety risk or affects its operation. Follow the operating instructions and any safety guidance provided at handover.

  5. 25

    Testing, commissioning and handover

On completion, we will carry out the tests and commissioning appropriate to the agreed scope and demonstrate the system where included. You or your nominated representative should attend the handover and raise any apparent issues promptly. We will provide any manuals, passwords, configuration information or training that are expressly included in the quotation. Additional training, documentation or return visits may be chargeable if they are outside the agreed scope.

  6. 26

    Manufacturer’s warranty

Electrical and electronic products supplied by us are covered by the manufacturer’s warranty for 12 months from the date of supply or installation, as applicable to the product and the manufacturer’s terms. This is subject to the manufacturer’s warranty conditions and any longer or different warranty supplied with the product. Accidental damage, misuse, neglect, unauthorised modification, improper installation by others, and normal wear and tear are excluded to the extent permitted by the manufacturer’s terms. We will provide reasonable assistance with a valid warranty claim. This manufacturer’s warranty is in addition to, and does not replace, any statutory rights you may have.

  7. 27

    Workmanship warranty

We provide a 12-month workmanship warranty from the date of practical completion for defects directly caused by our installation workmanship. If you notify us of a covered defect within that period, we will assess it and, where the defect is our responsibility, repair or re-perform the affected installation work within a reasonable time. The warranty does not cover faults caused by misuse, accidental damage, normal wear and tear, building movement, power surges or external events, pre-existing site conditions, products failing under their own warranty, or alterations or interference by others, except to the extent the issue was caused by our breach of contract or negligence. This warranty does not affect statutory rights.

  8. 28

    Auracast wireless hearing assistance demonstration

A venue demonstration of a wireless Auracast hearing assistance system is charged at £49. If you subsequently place an order with ThriveTech Audio for a system arising from that demonstration, the £49 demonstration fee will be credited against the amount payable for that order. If no such order is placed, the £49 demonstration fee remains payable. Any travel, parking or additional costs will be identified in advance where applicable.

  9. 29

    System performance and third-party equipment

We will configure and test the system in line with the agreed specification and reasonable site conditions. Performance can be affected by the building layout, interference, network conditions, third-party devices, hearing aids or headphones, user settings, and changes made after handover. Unless expressly included in the quotation, ongoing monitoring, software subscriptions, internet connectivity, third-party licences and maintenance after the warranty period are not included. We cannot guarantee compatibility with every third-party device or future software update.

  10. 30

    Cancellations, delays and return visits

If an installation booking is cancelled or postponed, clause 7 applies together with any project-specific terms in the quotation. Reasonable non-refundable costs for equipment already ordered or work already undertaken may be payable. If access is unavailable, the site is unsafe, or work cannot proceed for reasons outside our reasonable control, we will discuss rearranging the visit and any reasonable additional costs before charging them where practicable. We will take reasonable steps to keep you informed of delays.

  11. 31

    Care and maintenance after installation

Unless a maintenance or support package is included in the quotation, ongoing servicing, fault-finding, repairs, replacement consumables and additional visits are not included in the installation price and may be charged separately. Please follow the supplied instructions and report faults promptly. Do not attempt repairs or alterations that could affect safety or invalidate a manufacturer’s warranty.

Part D

Final provisions

  1. 32

    Events outside our control

We are not responsible for a delay or failure caused by events beyond our reasonable control, including severe weather, fire, flood, illness, transport disruption, supply shortages, industrial action, utility outages, internet or network failure, or actions of third parties. We will take reasonable steps to notify you and minimise the impact. If the effect continues for an unreasonable period, either party may discuss a fair way to end or rearrange the affected work, taking account of work completed and costs incurred.

  2. 33

    Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in effect so far as the law permits. A failure or delay in enforcing a right does not waive that right.

  3. 34

    Governing law

These terms and any dispute or claim arising from them are governed by the laws of England and Wales. Where you are a consumer, you may also benefit from any mandatory protections and rights available under the law that applies to you.
